1. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms & Conditions and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use our services.

These terms constitute a legally binding agreement between you (the "Client") and SkilledDesk LLC ("we," "us," or "our").

2. Our Services

SkilledDesk LLC provides digital marketing services including but not limited to SEO, social media marketing, web design, Google Ads, email marketing, branding, and app development. The specific scope of services will be defined in a separate proposal or agreement for each engagement.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information when requested
• Supply necessary materials, access, and approvals in a timely manner
• Review and respond to deliverables within agreed timelines
• Make payments according to the agreed schedule
• Ensure you have the rights to any content you provide to us
• Comply with all applicable laws in your business operations

4. Payments & Billing

Payment terms are specified in your service agreement. We accept payments via Stripe and PayPal in USD, EUR, GBP, and CAD.

• One-time projects require payment as outlined in the proposal
• Monthly retainers are billed in advance on a recurring basis
• Late payments may result in suspension of services
• All fees are exclusive of applicable taxes unless stated otherwise

5. Refunds & Cancellations

Due to the nature of digital marketing services, refunds are handled on a case-by-case basis. Work already performed is non-refundable. For monthly subscriptions, you may cancel with 30 days' written notice. Any refund requests will be reviewed in accordance with the terms of your specific agreement.

6. Intellectual Property

Upon full payment, ownership of final deliverables created specifically for you transfers to you, unless otherwise stated. We retain the right to display completed work in our portfolio and marketing materials. Any tools, frameworks, or proprietary methods we use remain our intellectual property.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of our working relationship.

8. Warranties & Disclaimers

While we strive for excellent results, we do not guarantee specific outcomes such as rankings, traffic volumes, or revenue figures, as these depend on factors beyond our control. Our services are provided "as is" without warranties of any kind, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, SkilledDesk LLC shall not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the amount paid by you for the services in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless SkilledDesk LLC from any claims, damages, or expenses arising from your breach of these terms, your use of our services, or content you provide to us.

11. Termination

Either party may terminate the engagement with written notice as specified in the service agreement. Upon termination, you remain responsible for payment of all work completed up to the termination date.

12. Governing Law

These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Wyoming.

13. Changes to Terms

We reserve the right to update these Terms & Conditions at any time. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
